GC to Issue New Baht Debentures Public Offering in Two Tranches 7-Year and 10-Year with Priority Subscription Offered for Existing Debentureholders and Senior Citizens

Supporting long-term capital management, strengthening financial stability, and driving high-value, low-carbon businesses

Bangkok – 24th July 2026 – PTT Global Chemical Public Company Limited (GC), a global leader in the chemical business and the chemical flagship of PTT Group, announces its plan to issue and offer unsubordinated and unsecured debentures with a debentureholders’ representative through a Public Offering (PO). The issuance comprises two tranches: a 7-year tenor and a 10-year tenor, both featuring an early redemption right by the issuer. Subscription is tentatively scheduled for 14–21 September 2026, through six leading financial institutions: Bangkok Bank, Krungthai Bank, Bank of Ayudhya, KASIKORNBANK, Siam Commercial Bank, and CIMB Thai Bank. Priority subscription rights will be granted to existing debentureholders, followed by senior citizens, and the general public investors, respectively, aiming to broaden GC’s investor base and support its long-term capital management strategy.

The proceeds from this debenture issuance will be used as working capital for business operations and to refinance existing debt. This initiative aims to enhance financial flexibility and reinforce the company’s capital structure, enabling GC to navigate energy-price volatility arising from global economic conditions and geopolitical factors. GC remains committed to maintaining strict financial discipline and prudent capital structure planning, while driving its transition toward a high-value, low-carbon businesses to ensure sustainable long-term growth.

Mr. Thitipong Jurapornsiridee, Executive Vice President - Finance and Accounting at GC, stated “This debenture issuance marks our return to offering unsubordinated, unsecured debentures with a debentureholders’ representative for the first time in four years, following the successful issuances of our subordinated perpetual debentures in 2024 and 2025. The strong response from investors reflects their continued confidence in GC’s potential as the chemical flagship of PTT Group. The debentures offered in this issuance are unsubordinated and unsecured debentures with a debentureholders’ representative and feature an early redemption right by the issuer prior to maturity. The offering comprises two tranches: Tranche 1, 7-year tenor with an indicative coupon rate of [2.65–2.80] % per annum and Tranche 2, 10-year tenor with an indicative coupon rate of [3.00–3.15] % per annum. The final coupon rates will be announced by the company at a later date.

To provide investment access to a broad range of investors, the debenture offering will be offered in three phases:

  • Phase 1 during 14–15 September 2026 reserved for existing holders of PTTGC296A debentures.
  • Phase 2 during 16–17 September 2026 reserved for senior citizens (individual investors who are 60 years of age or older, or turning 60 in the year 2026—specifically those born on or before 31 December 1966).
  • Phase 3 during 18 and 21 September 2026 for general public

Interested investors can subscribe through the branches and online channels of the joint lead arrangers.

The joint lead arrangers for this debenture offering, added “As GC returns to the market with unsubordinated and unsecured debentures for the first time in four years, existing holders of the PTTGC296A debentures will be given priority to subscribe during Phase 1. Phase 2 will be offered to senior citizens—an investor segment that GC has consistently prioritize—providing them with a stable and sustainable investment choice that offers regular income during retirement. Finally, Phase 3 will be open to the general public, allowing broader access to a stable investment opportunity while expanding GC’s debentureholder base.”

For all three subscription phases the minimum subscription amount is set at 100,000 Baht and additional multiples of 100,000 Baht, and no maximum limit per individual investor.
