Topic 2: Ethical Leadership for New Era, taught by Dr. Narumol Sinhaseni, senior executive vice president of MC Group Public Company Limited, aims to create awareness of importance of organization’s leaders to carry on the business with ethics and to learn about challenging issues of doing business in current situation and in the future, including activity on guidelines for making important organizational decisions. Topic 3: High Performing Board: Board Effectiveness, taught by Mr. Kulvech Janvatanavit Chief Executive Officer of Thai Institute of Directors Association (IOD), aims to create understanding of roles and duties of directors including important compositions affecting efficiency of performance of the board of directors, as well as guidelines, trends and expectation on compositions of the board of directors of a listed company. In addition to the trainings by the IOD, GC has set up courses and programs to develop every level of our Executives, the details of which are as shown in the section titled “Employee”. GC encouraged the Company Secretary to attend training programs to support the Board of Directors. In 2021, the Company Secretary attended the program offered by the Thai Institute of Directors Association (IOD), namely Company Secretary Refreshment Training Program (RFP) Class 4/2021, and GC’s in-house programs, namely, the Director’s Legal Liabilities session, Ethical Leadership for new Era session and High Performing Board & Board Effectiveness 2021 session. (3) Board Performance Assessment Board of Directors CG Code stipulates board performance assessment, which GC carries out annually using 3 performance assessment forms, namely, group assessment, selfassessment and cross-assessment (individual assessment of other directors). In 2021, there were 15 directors completing the online director assessment forms in the following details. GROUP ASSESSMENT: The group assessment form comprises of six main sections: 1) Board policy, 2) Board performance, 3) Board structure (composition and qualifications), 4) Board style, 5) Board meeting, and 6) Board development. The average group assessment score is 95.5%. SELF-ASSESSMENT (ASSESSMENT OF INDIVIDUAL DIRECTORS): The assessment form comprises of three main sections: 1) Directors’ knowledge and expertise, self-development, and teamwork, 2) Board performance of duties, and 3) dedication of time and meeting attendance. The average self-assessment score is 94.4%. CROSS-ASSESSMENT (INDIVIDUAL ASSESSMENT OF OTHER DIRECTORS): The assessment form comprises of three main sections: 1) the Director’s knowledge and expertise, self-development, and teamwork, 2) Board performance of duties, and 3) dedication of time and meeting attendance. The average cross-assessment score is 97.1%. SUB-COMMITTEES The Company’s 4 Sub-committees have conducted the annual performance assessment, both as a committee (group) and on individual level. In 2021, every Subcommittee reviewed and revised the assessment questionnaires and criteria to ensure alignment with good corporate governance practices prior to its execution. (1) AUDIT COMMITTEE The group assessment comprises of two parts: the first part is the composition, covering the topics of the Audit Committee’s Charter, qualifications, meetings, learning and data access; and the second part is performance of duties, covering the topics of responsibilities and performance reporting to the Board. The individual assessment comprises of the following topics: qualifications, meetings, roles and responsibilities. The average score of the group assessment is 99.8%, and the average score of the individual assessment is 95.6%. (2) NOMINATION AND REMUNERATION COMMITTEE The group assessment comprises of the following topics: composition and qualifications, performance of duties, guidelines for Directors, meeting attendance, and reporting and performance evaluation. The individual assessment comprises of the following topics: knowledge and expertise, performance of duties, guidelines for Directors, and dedication of time and meeting attendance. The average score of the group assessment is 91.1%, and the average score of the individual assessment is 92.4%.
